1. Introduction & Acceptance of Terms

Welcome to PharmaCare POS (“PharmaCare”, “we”, “us”, or “our”), accessible via pharmacyinventery.com. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “Subscriber”, or “You”) and PharmaCare Systems governing your access to and use of our pharmacy management software, web services, desktop applications, and documentation.

By downloading, installing, purchasing a license, or accessing any part of PharmaCare POS, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a pharmacy, clinic, or corporate entity, you represent that you have full legal authority to bind that entity. If you do not agree to these Terms, you must not download, install, or use our software.

2. Software License Grant & Scope of Use

Subject to your compliance with these Terms and payment of applicable license fees, PharmaCare grants you a non-exclusive, non-transferable, revocable, worldwide commercial license to install, execute, and utilize the software solely for your internal pharmacy inventory, billing, and management operations:

• Online Desktop Pro License ($150 USD/year): Grants full access to on-premises POS billing, multi-batch FEFO inventory management, real-time encrypted cloud backup synchronization, automated software updates, and multi-branch management for one (1) primary establishment for a renewable period of twelve (12) months.
• Offline Desktop Pro Lifetime License ($40 USD one-time): Grants a perpetual, non-expiring on-premises software license to execute PharmaCare POS on one (1) local computer workstation in an air-gapped or offline environment with $0 mandatory recurring renewal fees.
• 7-Day Free Trial: Every new deployment includes seven (7) calendar days of complete, unrestricted access to all features to evaluate software functionality, hardware compatibility, and performance prior to purchase.

3. Merchant of Record & Payment Processing

Our order process and billing are conducted by our online reseller and authorized Merchant of Record, Paddle.com (“Paddle”). Paddle is the Merchant of Record for all digital orders placed on pharmacyinventery.com.

• Payment Processing: Paddle manages payment transactions, credit/debit card processing, anti-fraud screening, currency conversion, and applicable sales tax / Value Added Tax (VAT) / Goods and Services Tax (GST) in accordance with international tax regulations.
• Payment Security: PharmaCare POS never collects, processes, or stores your credit/debit card numbers or bank credentials. All financial transactions are processed with Level 1 PCI-DSS compliance by Paddle.
• Invoicing: Following successful checkout, you will receive an official tax invoice and purchase confirmation directly from Paddle, alongside your instant digital license key.

4. Hardware Replacement & License Continuity ($0 Fee)

We recognize that computer hardware may require replacement, upgrades, or maintenance. In the event of a computer failure, hard drive crash, or workstation upgrade, PharmaCare POS provides a 100% free hardware license transfer mechanism. Active license holders can reactivate their subscription or lifetime license on replacement hardware at $0 zero additional cost by contacting our support team or utilizing the built-in device management portal.

5. Customer Data Ownership & Storage Isolation

100% Exclusive Ownership: You retain complete, unencumbered, and exclusive legal ownership of all pharmacy inventory databases, medicine catalogs, pricing records, supplier ledgers, customer/patient records, and financial transaction histories created or entered into the software. PharmaCare POS claims zero proprietary interest, title, or intellectual property rights over your pharmacy records.

• Air-Gapped / Offline Storage: In offline mode, your data resides entirely on your local storage drive in an isolated SQLite/SQL database. You maintain sole operational responsibility for creating regular offsite physical backups (e.g., external USB drives).
• Cloud Account Storage: For online subscribers, account data is stored in the registered cloud workspace for authenticated multi-device access. Data is encrypted in transit (TLS 1.3) and protected by the platform's access controls.

6. Acceptable Use & Prohibited Conduct

You agree that you will not, and will not permit any third party to:

• Decompile, reverse engineer, disassemble, decrypt, or attempt to derive the source code or underlying algorithms of PharmaCare POS.
• Resell, sub-license, rent, lease, time-share, distribute, or commercially exploit the software without prior express written authorization.
• Bypass, disable, or tamper with any digital rights management (DRM), license validation mechanism, or hardware token binding.
• Use the software for any unlawful purpose, including the unauthorized distribution, tracking, or trafficking of illegal drugs, illicit narcotics, or controlled substances in violation of applicable health and drug regulatory authorities.

7. Intellectual Property Rights

All title, copyright, trademarks, trade secrets, software architecture, user interfaces, design assets, and source code of PharmaCare POS are and shall remain the exclusive intellectual property of PharmaCare Systems. All rights not expressly granted to you under these Terms are reserved.

8. Warranty Disclaimer & Limitation of Liability

PharmaCare POS is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by applicable law, PharmaCare Systems disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by applicable law, in no event shall PharmaCare Systems, its developers, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of profits, business interruption, or loss of data) arising out of or related to the use or inability to use the software. In all events, the total cumulative liability of PharmaCare Systems for any and all claims shall not exceed the total amount actually paid by you for the software license during the twelve (12) months immediately preceding the event giving rise to liability.

9. Termination & Cancellation

You may terminate your subscription at any time via the Paddle billing portal or by contacting our support desk. Upon termination, your right to receive future updates and cloud synchronization services will end, but your locally stored pharmacy data will remain fully intact and accessible to you. PharmaCare Systems may terminate or suspend your license upon material breach of these Terms if such breach remains uncured after fourteen (14) days of notice.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the applicable laws of Pakistan, without regard to its conflict of law principles. Any legal disputes arising under these Terms shall be resolved through good-faith negotiation, and if unresolved, submitted to the competent courts having jurisdiction.
